Portal Terms
The rules for using the portal. Short, because most of it is one idea: nothing moves without you.

The short version. The portal shows you your own QuickBooks in plain words. It writes into your books only what you press, and it sends a message to a customer only after you have read that exact message and approved it. It is not your accountant and it is not the record — QuickBooks is. Your engagement letter says what you pay; this page says how the software behaves.
1. What these terms cover
These terms apply to the client portal at portal.breakawayops.com, between Breakaway Ops LLC, a Florida limited liability company (“we,” “us”), and the business whose account it is (“you”).
They sit on top of our general terms of service, which continue to govern everything else between us — warranties, limits on liability, confidentiality, indemnity, governing law, and how a dispute is handled. Those are not repeated here. Where this page and the general terms say different things about the portal, this page wins; on everything else, the general terms govern. If you have signed a separate written agreement with us, that agreement wins over both.
Using the portal means you accept these terms. If you do not, do not sign in.
2. What the portal is, and what it is not
It is a window onto your own accounting records, plus a queue of things waiting for your decision.
It is not an accountant, a bookkeeper, or a tax adviser, and nothing it shows you is accounting, tax, legal, or financial advice. It reports what is in your books. If what is in your books is wrong, the portal will report it confidently and it will still be wrong.
QuickBooks is the record, not us. Where the portal and your QuickBooks ever disagree, QuickBooks is right. We hold a working copy so the screens are fast; we do not keep a competing version of the truth, and we do not ask you to reconcile two systems.
3. Your account
You get an account by invitation from us. You choose your own password; we never see it and cannot read it back.
Keep it to yourself, and tell us at hello@breakawayops.com if you think someone else has it. Anything done while signed in as you is treated as done by you, including approving a message that then goes to a customer. That is the whole reason the approve step exists, so it has to mean something.
4. Connecting your QuickBooks
Connecting is your choice and it happens on Intuit’s own permission screen. You are granting permission to Intuit; you never type a QuickBooks username or password into us, and we never see one.
You confirm you are entitled to connect that company — that it is your business’s books, or that you have permission from whoever owns them.
You can disconnect at any time, from the Connections screen, without asking us. Disconnecting destroys our copy of the keys immediately and tells Intuit the link is over. Your books are untouched.
Intuit’s own terms govern your QuickBooks account, and they can change what the portal is allowed to read. If they do, the portal loses that piece and says so on screen rather than guessing.
5. What we write into your books
Only what you press, at the moment you press it: adding a customer, raising an invoice, turning an accepted quote into an invoice, marking a job as done.
The portal never edits or deletes anything in your QuickBooks, and it never writes anything on a schedule or on its own initiative. If QuickBooks refuses a write, the portal tells you what Intuit said and changes nothing on our side either — it will not queue it up quietly to try again later.
6. Nothing is sent without your approval
The portal drafts messages to your customers. Every one waits in your queue until you read it and approve it. You can edit it first, or discard it.
Approval is the only thing that sends a message. There is no batch approve, no automatic send, no “send unless you object.” When you approve one, you are the sender: the message goes out under your business’s name, and you are responsible for what it says.
7. Drafts written by AI
Those drafts are written by an AI model, and you should treat them the way you would treat a draft from a capable assistant who has never met your customer.
We built guards — a draft that omits the amount or the invoice number is rejected before you ever see it, and if the model is unavailable the portal falls back to fixed templates. None of that makes a draft correct. Read it before you approve it. Once you approve it, it is your message.
The model is given only what that one message needs. Your books are not sent to it, and no QuickBooks data is used to train any model. The detail is in the portal privacy page.
8. Your mailbox, if you link one
Optional. Link a Gmail or Outlook account and approved messages leave from your own address; link nothing and they leave from ours, on your behalf.
The default permission is send only — the portal cannot read your inbox unless you deliberately choose the wider permission. Unlinking wipes our copy of the keys immediately.
9. Availability
We aim to keep the portal up and we do not promise it will be. It depends on Intuit, on Cloudflare, and on the other services named in the privacy page, and any of them can have a bad day. There is no uptime guarantee and no service credit.
We may change how the portal works, add to it, or take a feature away. If a change would affect how you work, we will tell you rather than let you discover it.
When the portal cannot reach your QuickBooks, it says so on screen and shows you the figures as of the last successful read. It does not hide a stale number behind a fresh-looking screen.
10. What it costs
What you pay for the portal, and when, is set out in the separate written agreement or engagement letter between us. Nothing on this page changes that, and this page does not set a price. If no written agreement covers it, nothing is owed for it.
11. Your data, and getting it out
Your figures are yours. We do not sell them, we never show them to another client, and we do not use them to build anything for anyone else.
Everything the portal shows you came from your QuickBooks and is still in your QuickBooks, so the complete record is always in your hands whatever happens to us. Ask and we will erase your business’s data from the portal by hand and confirm when it is done.
12. Ending it
Either of us can end your use of the portal, for any reason, with reasonable notice. We would tell you first except where we have to act immediately — a security problem, or use that breaks these terms.
When it ends: disconnect your QuickBooks, or tell us and we will. Your books are untouched. Ask for erasure and you get it.
13. Reasonable use
Do not try to reach another business’s data, break the portal, or get around its limits. Do not share your account with people outside your business. Do not use the portal to send anything unlawful, misleading, or harassing to your customers — you are the sender, and that is on you.
14. Changes to these terms
We may update this page. The date at the top is the date of the last real change. If a change matters to how you use the portal, we will tell you directly rather than editing quietly and hoping you re-read it.
